1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. Businesses applying for payment processing must submit truthful information and comply with all applicable laws.

2. Services

RetryHub provides payment processing, gateway integration, and merchant support services primarily for high-risk businesses. We reserve the right to refuse service to any entity at our sole discretion.

3. Merchant Obligations

By using RetryHub, you agree to:

• Provide accurate and complete business, financial, and identity information.
• Only submit transactions that are legal and authorized.
• Maintain compliance with card network rules (e.g., Visa, Mastercard), acquiring bank policies, and relevant laws.

Failure to do so may result in termination or withholding of funds.

4. Underwriting and Approval

All merchants must undergo underwriting. Approval is not guaranteed and is subject to risk assessment, business model review, and bank compliance. Processing limits, rolling reserves, and payout schedules may be applied at our or the bank's discretion.

5. Fees and Payouts

Fees are outlined in your signed merchant agreement. Any changes will be communicated in advance. Payouts may be subject to rolling reserves, chargeback thresholds, and fraud reviews.

6. Prohibited Activities

You agree not to use RetryHub for:

• Money laundering, terrorism financing, or illegal sales.
• Sale of counterfeit, stolen, or unauthorized goods/services.
• Adult, crypto, or pharma-related activities unless explicitly approved in writing.

Violation may result in immediate termination and potential legal action.

7. Intellectual Property

All content on RetryHub.com—including logos, software, and trademarks—is owned by RetryHub or its licensors. You may not copy, modify, or use it without our prior written permission.

8. Limitation of Liability

To the maximum extent permitted by law, RetryHub shall not be liable for:

• Indirect, incidental, or consequential damages.
• Losses due to downtime, chargebacks, or bank actions.
• Any damages exceeding the total fees paid to us in the prior 3 months.

9. Termination

We may terminate or suspend access to our Services at any time for breach, fraud, legal risk, or at our sole discretion. You may terminate by ceasing use of our Services.

10. Dispute Resolution

All disputes will be resolved through binding arbitration administered by JAMS under its Commercial Arbitration Rules. The arbitration will take place in Miami, Florida, USA, and you waive the right to a jury trial or class action.

11. Modifications

We may modify these Terms at any time. Continued use of RetryHub after changes constitutes acceptance. We encourage users to regularly review this page.

If you are a business subject to GDPR, CCPA, or similar frameworks, you may request a signed Data Processing Addendum (DPA) from us at: help@retryhub.com.

Our standard DPA includes:

• Data processing roles and obligations
• Subprocessor disclosures
• Security standards and audit rights
